Terms of Service

These Terms are under ongoing review by counsel. Material changes will be announced as described in Section 15.

These Terms of Service (the "Terms") are an agreement between you and Daxi Study AI ("Daxi," "we," "us") governing your use of the Daxi study assistant, available at daxistudy.com and related applications and APIs (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Copyright & DMCA Policy, which are incorporated by reference.

1. Who May Use Daxi

You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority where you live), you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms on your behalf. You must provide accurate account information and keep your credentials secure.

2. The Service

Daxi lets you upload your own course materials — documents, slides, audio, images, and video links — and ask questions, generate study aids, and create drafts grounded in those materials. Daxi is designed to answer from the materials you provide, with citations to them, rather than from the open internet.

AI output disclaimer: Daxi uses artificial intelligence. AI output can be incomplete, outdated, or wrong, even when citations are provided. Citations exist so you can verify answers against your own materials — always do so before relying on any output, especially for graded work, exams, or decisions that matter. The Service is a study aid; it is not professional, legal, medical, or financial advice, and it is not a substitute for your own course materials or your own work.

3. Your Account

  • One person per account. Accounts and subscriptions are personal to you and may not be shared, lent, or resold. We may suspend accounts showing signs of sharing or automated abuse.
  • You are responsible for activity under your account and for keeping your password secure.
  • We may require email verification and use anti-fraud measures (described in the Privacy Policy) to protect free-trial and subscription integrity.

4. Subscriptions, Trials, and Billing

Paid plans. Daxi offers paid subscription plans and optional add-ons (such as additional storage), billed through our payment processor (Stripe). Current pricing and plan limits are shown at checkout and on our pricing page.

Automatic renewal. Subscriptions renew automatically each billing period at the then-current price until cancelled. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis. You can cancel at any time through your account settings; cancellation takes effect at the end of the current paid period, and you keep access until then.

Free trial. If you start a free trial, it converts to a paid subscription at the end of the trial unless you cancel before the trial ends. Trial scope and limits are described at signup. One trial per person; anti-abuse measures apply.

Failed payments. If a renewal charge fails, your access to paid features is suspended immediately until payment succeeds. Our processor may retry the charge; access is restored automatically when payment is completed.

Refunds. Fees are non-refundable except where required by law.

Price changes. We may change prices with at least 30 days' notice; changes apply at your next renewal.

5. Your Content

You own what you upload. You retain all rights in the course materials and other content you upload to the Service ("User Content"). We do not claim ownership of it.

License to operate the Service. So we can provide the Service, you grant us a limited, worldwide, non-exclusive license to host, store, reproduce, process, transcribe, index, and create derived technical representations of your User Content (for example: extracted text, vector embeddings, transcripts, OCR output, and descriptions of figures) solely to provide, maintain, secure, and improve the Service for you. This license ends when your content is deleted from the Service, except that (a) de-identified derived technical data that does not reproduce your materials in substance may be retained for service operation, and (b) residual copies in backups are deleted on our backup cycle.

Your responsibilities. You represent that you have lawful access to the materials you upload and the right to use them for your personal study. Upload materials for your own coursework — not to redistribute them, and not on behalf of someone else.

Privacy of your library. Your uploaded materials are private to your account. Daxi does not publish your materials or make them available to other users.

We do not use your User Content to train AI models. Our AI vendors process your content to provide the Service (see the Privacy Policy) and, per our agreements and their API terms, do not use it to train their models.

6. Acceptable Use

You agree not to:

  • upload content you do not have the right to use, or use the Service to infringe anyone's intellectual property;
  • share, pool, resell, or commercialize your account or the Service's output as a service to others;
  • use the Service for academic dishonesty, including submitting AI-generated work as your own where your institution prohibits it (see our Academic Integrity Statement);
  • probe, scrape, overload, reverse engineer, or interfere with the Service, or access it by automated means outside features we provide;
  • circumvent usage limits, trials, anti-fraud measures, or security controls;
  • upload malicious code or unlawful content, or use the Service to violate any law or the rights of others.

Fair use of "unlimited" or high-limit features: usage must reflect genuine personal study by one person. We may apply technical safeguards (such as rate limits) and may suspend accounts whose usage patterns indicate automation, sharing, or abuse.

7. Academic Integrity

Daxi is built for learning: it grounds answers in your own course materials and shows you where they came from. You are responsible for using the Service consistently with your institution's academic-integrity policies, honor codes, and each instructor's rules on AI assistance, including disclosure requirements. Misuse of the Service for academic dishonesty is a violation of these Terms. Our full Academic Integrity Statement is incorporated into these Terms.

8. Copyright Complaints (DMCA)

We respect intellectual-property rights and respond to copyright complaints under the Digital Millennium Copyright Act. Our Copyright & DMCA Policy — including how to submit a notice, how counter-notices work, and our repeat-infringer policy — is incorporated into these Terms. Accounts of repeat infringers will be terminated in appropriate circumstances.

9. Daxi's Intellectual Property

The Service — including its software, orchestration, skill files, design, and branding — is owned by us or our licensors and protected by law. These Terms do not grant you any rights in the Service except the limited right to use it as intended. If you give us feedback, we may use it without restriction or obligation.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOUR GRADES AND ACADEMIC OUTCOMES ARE YOUR OWN; WE DO NOT WARRANT ANY ACADEMIC RESULT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $50 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

12. Indemnification

You will defend and indemnify us against claims arising from your User Content, your violation of these Terms, or your violation of law or third-party rights, except to the extent we caused the issue.

13. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access for violation of these Terms (including the Acceptable Use and repeat-infringer provisions) or to protect the Service, with notice where practicable. After account closure, your content is handled per the retention schedule in the Privacy Policy. Sections that by their nature should survive (the Section 5 license tail, 9–12, and 14–15) survive termination.

14. Disputes; Governing Law

Informal first. Before filing a claim, you and we agree to try to resolve any dispute informally by emailing hello@daxi.study — most issues resolve this way within 30 days.

Arbitration. Except for small-claims-court matters and IP-infringement actions, any dispute arising out of these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its consumer rules. YOU AND DAXI EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@daxi.study with your account email and a statement that you opt out.

Governing law. The laws of the State of California, excluding conflict-of-laws rules. Venue for matters not subject to arbitration: the state or federal courts located in Santa Clara County, California.

15. Changes; Miscellaneous

We may update these Terms; material changes will be notified by email or in-app at least 14 days before they take effect, and continued use after the effective date is acceptance. These Terms are the entire agreement regarding the Service; if a provision is unenforceable, the rest remain in effect; we may assign these Terms in connection with a merger, acquisition, or sale; failure to enforce is not waiver.
